Dispositif : I. – À l'alinéa 10, après la seconde occurrence du mot : « société, » insérer les mots : « y compris les pactes d'actionnaires, les conventions de portage, les options d'achat ou de vente portant sur les titres de la société et toute clause conférant à l'investisseur un droit d'entraînement ou de sortie conjointe ». II. – En conséquence, compléter le même alinéa 10 par la phrase suivante : « Le ministre chargé des sports vérifie que les clauses de sortie stipulées au bénéfice de l'investisseur minoritaire ne sont pas de nature à lui conférer une influence déterminante sur les orientations stratégiques de la société. Il peut subordonner son approbation à la modification ou à la suppression de toute clause ne satisfaisant pas à cette exigence. » Exposé sommaire : Le présent article soumet les documents d'entrée des investisseurs minoritaires à l'approbation de l'assemblée générale fédérale et du ministre. Mais la valeur économique réelle d'un investisseur minoritaire ne réside pas dans les dividendes, exclus par la proposition de loi : elle est dans les clauses de sortie, droits d'entraînement, droits de sortie conjointe, options d'achat ou de vente. Ces stipulations figurent dans les pactes d'actionnaires, hors des statuts, donc hors du champ du texte actuel. Elles peuvent conférer à un investisseur étranger une influence déterminante via la simple menace d'exercer une option de vente.
